【英文】For purposes of this Certificate，any stock of any series or class of the Company shall be deemed to rank：

（a）senior to the shares of Series B Preferred Stock，as to dividends or upon liquidation，dissolution or winding up，as the case may be，if the holders of such class or classes shall be entitled to the receipt of dividends or of amounts distributable upon dissolution，liquidation or winding up of the Company，as the case may be，in preference or priority to the holders of shares of Series B Preferred Stock.

【譯文】按本證書規定，該公司發行的任何系列或種類之股票的等級將視為：

（a）…就分紅而言或一旦出現清算、解散或停業清理（視實際情況而定），如果該類股票持有人有權在該公司分紅或在公司解散、清算或停業清理時有權獲得可分配財產（視實際情況而定），則這些股票之等級將優于B系列優先股，并優于或先于B系列優先股股份持有者。

【解釋】as the case may be意為“視具體情況而定”，在商業合同中使用頻率較高。

再如：

Upon the application and justification of the divestiture obligor，the Ministry of Commerce may properly extend the time limit for ownership transfer，as the case may be.〔譯文：根據具體情況，經剝離義務人申請并說明理由，商務部可酌情延長所有權轉移的期限。〕
